Terms and Conditions

These terms and conditions (“Terms”) govern your use of texcovery.com (the “Site”) and any purchase you make from the Texcovery shop. The Site is operated by Texcovery Media (“Texcovery”, “we”, “us”), Suite 704, 120 Adelaide Street West, Toronto, ON M5H 1T1, Canada.

By using the Site, you agree to these Terms. If you do not agree, please do not use the Site. Some parts of the Site have additional rules, including our privacy policy, cookie policy, shipping and returns policy, disclaimer and copyright policy. Those documents form part of these Terms.

If you are a consumer, nothing in these Terms takes away rights you have under Ontario’s consumer protection legislation or the consumer protection laws of the province or territory where you live. Where these Terms conflict with those rights, the law wins.

1. Using the Site

You may read, share links to and print articles from the Site for your own personal, non-commercial use. In using the Site, you agree not to:

  • copy, republish or redistribute our articles, photos, graphics or newsletters in full, except as permitted by law (for example, fair dealing for research, criticism, review or news reporting with proper attribution);
  • scrape, crawl or harvest content or data from the Site using automated tools, including for the purpose of training machine learning or AI models, without our prior written permission;
  • attempt to gain unauthorized access to the Site, its servers or any account, probe for vulnerabilities without authorization, or interfere with its operation, including through denial-of-service attacks or by introducing malicious code;
  • circumvent our security measures, paywalls (if any) or cookie consent tools;
  • use the Site to send spam, impersonate anyone or mislead others about your identity or affiliation; or
  • use the Site in any way that breaks the law.

Search engines and archiving services that follow our robots.txt file are welcome. If you are a security researcher who has found a vulnerability, please tell us privately at [email protected] before disclosing it publicly. We appreciate good-faith reports.

We may suspend or block access to the Site, or to any account, if we reasonably believe these Terms have been broken or the Site’s security is at risk.

2. Intellectual property

Unless otherwise noted, the articles, headlines, newsletters, illustrations, logos, page designs and other material on the Site are owned by Texcovery Media or licensed to us, and are protected by Canadian and international copyright and trademark law. “Texcovery” and the Texcovery logo are our trademarks. Photos credited to third parties (for example, an agency, a photographer or a company) belong to them and are used under licence.

You may quote short passages from our articles with a clear credit to Texcovery and a link back to the original article. For anything more, including syndication, translation or use in a commercial product, email [email protected] to ask for permission.

If you believe something on the Site infringes your copyright, please follow the process in our copyright policy.

3. Comments and other content you submit

You can comment on many of our articles. By submitting a comment, letter, tip, photo or other material (“User Content”), you confirm that it is your own work or that you have the right to share it, and you give Texcovery a non-exclusive, royalty-free, worldwide, perpetual licence to publish, edit for length and clarity, display and archive it on the Site, in our newsletter and on our social media channels. You keep ownership of your User Content.

Comments are moderated. We want comment threads to be useful, and we may decline, edit or remove any comment at our discretion, including comments that:

  • are abusive, threatening, harassing, hateful or discriminatory;
  • are defamatory or make unsupported accusations of wrongdoing against identifiable people;
  • contain personal information about someone else, such as a home address or phone number;
  • are spam, include affiliate or promotional links, or advertise products or services;
  • infringe someone else’s copyright or other rights;
  • are off-topic or repetitive; or
  • impersonate another person, including our staff.

Comments reflect the views of their authors, not of Texcovery. We do not review every comment before it appears in every case and are not responsible for User Content, but we act promptly when problems are reported. To report a comment, email [email protected] with a link to it. Repeat offenders may be blocked from commenting.

If you send us a story pitch or guest article, the arrangements in our write for us guidelines and any written agreement with you apply in addition to this section.

4. Customer accounts

You can buy from our shop as a guest or create an account. If you create an account, you are responsible for keeping your password confidential and for all activity under your account. Tell us right away at [email protected] if you think someone else has accessed it. You must provide accurate information and keep it up to date.

5. Shop terms

This section applies when you buy products from the Texcovery shop. The seller is Texcovery Media.

5.1 Products and descriptions

We sell a small range of Texcovery-branded merchandise. We try to describe and photograph every item accurately, including materials, dimensions and care instructions. Colours may look slightly different depending on your screen, and small variations in printing, stitching and natural materials are normal. Product photos may show a generic version of the item without our branding applied.

Products are sold for personal use. We may limit quantities per order or per customer, and we reserve the right to refuse orders placed by resellers.

5.2 Prices and currency

All prices on the Site are in Canadian dollars (CAD). Prices do not include taxes or shipping, which are shown separately at checkout before you pay. If you pay with a card issued outside Canada, your card issuer will convert the charge into your currency at its own exchange rate and may add a foreign transaction fee; we do not control those charges.

We may change prices at any time, but changes do not affect orders already confirmed. If a product is listed at an obviously incorrect price because of a technical or typographical error, we will contact you before shipping and give you the choice of paying the correct price or cancelling for a full refund.

5.3 Taxes

We are registered for GST/HST. Sales tax is charged according to the province or territory where your order is delivered, as required by the Canada Revenue Agency’s place-of-supply rules. That means, for example, 13% HST on orders delivered in Ontario, 14% HST in Nova Scotia, 15% HST in New Brunswick, Newfoundland and Labrador, and Prince Edward Island, and 5% GST elsewhere in Canada. We do not currently collect provincial sales tax (PST or QST) separately; if you live in a province with its own sales tax, you may be responsible for self-assessing it under your province’s rules. The applicable tax is shown at checkout and on your receipt.

Orders shipped outside Canada are generally zero-rated for GST/HST. For orders shipped to the United States, see section 5.6.

5.4 Placing an order and contract formation

When you place an order, you will see a summary of the items, prices, taxes, shipping charges and total before you confirm. You can review and correct your order at that point. After you pay, we send an order confirmation email that includes the details of your purchase. A contract between you and Texcovery is formed when we send that confirmation. Please keep a copy for your records.

We may cancel an order before it ships if a product is out of stock, if we cannot verify payment, if we suspect fraud or if a pricing error occurred. If we cancel, we refund you in full to your original payment method.

5.5 Payment

We accept major credit and debit cards and other methods shown at checkout, processed by our third-party payment providers. Your payment is authorized when you place the order. We do not store your full card details. By submitting payment information, you confirm that you are authorized to use the payment method.

5.6 Shipping and delivery

We ship within Canada using Canada Post, and to the United States. Shipping rates, the free-shipping threshold, processing times and estimated delivery times are set out in our shipping and returns policy. Delivery dates are estimates and can be affected by carrier delays, weather and other events outside our control.

For US orders, duties and customs fees may apply on goods entering the United States. Where we can, we prepay these at checkout so there are no surprise charges on delivery; the shipping and returns page explains the current arrangement. Risk of loss passes to you when the parcel is delivered to the address you gave us.

If your order does not arrive within 30 days after the estimated delivery date we gave you, you may cancel it and receive a full refund, as Ontario consumer protection law provides for internet agreements, unless you have accepted delivery after that date.

5.7 Returns, exchanges and refunds

You may return most unused items within 30 days of delivery. Damaged, defective and incorrect items are replaced or refunded at no cost to you. Full details, including how to start a return and how refunds are processed, are in our shipping and returns policy. These commitments are in addition to any cancellation or refund rights you have under consumer protection law.

5.8 Product warranty

We stand behind the quality of what we sell. If an item has a manufacturing defect that shows up within 90 days of delivery under normal use, contact us and we will replace it or refund you. This does not cover normal wear and tear, misuse or failure to follow care instructions. This warranty is in addition to any warranties or conditions implied by law that cannot be excluded.

6. Newsletter and email

We send our newsletter only to people who have signed up and confirmed their subscription. You can unsubscribe at any time through the link in every issue. Transactional emails about your shop orders are not marketing and will be sent while your order is active.

7. Advertising, sponsored content and affiliate links

The Site contains advertising, clearly labelled sponsored content and, in some articles, affiliate links that earn us a commission. Our disclaimer and editorial policy explain how we keep these separate from our editorial judgment. Any purchase you make from a third-party retailer through an affiliate link is between you and that retailer, under its terms.

8. Links to third-party sites

Our articles link to websites we do not control. We provide these links for reference and reporting. We are not responsible for their content, availability, security or privacy practices, and a link does not mean we endorse the site or its owner.

9. Disclaimer of warranties

Our journalism is published for general information. We work hard to make it accurate, but we cannot guarantee that every article is complete, current or free of errors, and articles reflect the facts available at the time of publication. Nothing on the Site is financial, investment, legal, tax or professional advice. See our disclaimer for more.

Except as stated in section 5 for shop products, and to the fullest extent permitted by law, the Site is provided “as is” and “as available”, without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not promise that the Site will always be available, uninterrupted or free of viruses or other harmful components.

10. Limitation of liability

To the fullest extent permitted by applicable law, Texcovery Media and its owners, staff and contributors will not be liable for any indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenue, data or goodwill, arising out of or related to your use of the Site or its content, even if we have been told such damages are possible.

For shop purchases, our total liability to you for any claim relating to an order is limited to the amount you paid for that order. For all other claims relating to the Site, our total liability is limited to CA$100.

These limits do not apply where the law does not allow them, including liability for death or personal injury caused by negligence, for fraud, or for rights you have as a consumer that cannot be waived by contract.

11. Indemnity

If you break these Terms or post User Content that infringes someone’s rights or the law, you agree to compensate Texcovery Media for reasonable losses, damages and costs (including reasonable legal fees) that result from claims brought against us by third parties because of it. This section does not apply to consumers to the extent prohibited by consumer protection law.

12. Governing law and disputes

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-law rules. Subject to any non-waivable right you have to bring a claim in the courts where you live, you and we agree that disputes will be resolved by the courts of Ontario sitting in Toronto.

Before going to court, please contact us. Most problems can be solved with an email to [email protected] or, for orders, [email protected]. Nothing in these Terms prevents you from making a complaint to Ontario’s Consumer Protection branch or a similar authority in your province.

13. Changes to these Terms

We may update these Terms from time to time, for example when we add new features or the law changes. The updated version takes effect when we post it, and the “last updated” date at the top of this page will change. Changes do not apply retroactively to orders you have already placed. If you keep using the Site after an update, you accept the revised Terms.

14. General

If any part of these Terms is found to be unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver of our right to do so later. You may not transfer your rights under these Terms without our consent; we may transfer ours to a successor who takes over the Site. These Terms, together with the policies they reference, are the entire agreement between you and us about the Site.
